ScoutPal has recognized that there is an interest among ScoutPals for an opportunity to buy and sell from each other. Some ScoutPals may be better at finding books; some may be better at listing and shipping books. Some ScoutPals may be willing to sit on inventory for longer periods to get a higher price, whicle others may be willing to take a lower price from another ScoutPal for cash. To meet this need, ScoutPal provides an online place, a venue, for ScoutPals to get together to buy and sell from each other, this place is called The ScoutPal Network. DefinitionsDealerScout -- A ScoutPal subscriber who wishes to create Offers to buy merchandise from other ScoutPal subscribers. TeamScout -- A ScoutPal subscriber who wishes to view Offers from DealerScouts as they use ScoutPal to lookup merchandise. The ScoutPal Network -- A medium of communication provided by ScoutPal to be used between DealerScouts and TeamScouts, in the same manner that a telephone company provides communication services that may be used by buyers and sellers in the course of their business. ScoutPal establishes core Terms that must be adhered to by Network participants, and provides Network utility and communication services, however ScoutPal is not in any way a broker of any transaction that may occur between a DealerScout and a TeamScout. ScoutPal Network Participants must agree and adhere to the ScoutPal Network Policy and User Agreement.
Network Service DescriptionThe ScoutPal Network provides a platform and means for DealerScouts to make Offers to selected TeamScouts, including a way to formulaically create Offer Prices, and a way to publish their Terms which provide the specifics of how TeamScouts can accept and be paid for the merchandise. DealerScout Terms are published on the Network, available for review to any ScoutPal. A DealerScout's formulas are only available for editing and review by the DealerScout. Any ScoutPal subscriber may signup as a DealerScout and/or a TeamScout. A DealerScout formula will resolve to either a specific Offer Price, or to zero, i.e. no offer will be made. The non-zero Offers are generated and delivered to TeamScouts as they look up books, according to each DealerScout's formula. Each Offer Price is calculated and made specifically by each DealerScout, under the terms and conditions specified by the DealerScout, using formulas authored and tested solely by each DealerScout. Offers will only be generated for merchandise that resolves to an Amazon ASIN. TeamScouts can apply to DealerScouts and ask to be added to the DealerScout's Partner List, after reviewing each DealerScout's Terms. An email is then sent to the DealerScout for acceptance. The DealerScout may accept or reject the TeamScout's application, after which an email is sent back to the TeamScout indicating the status of the application. Once a TeamScout's application has been approved, Offers from the DealerScout may be included in the TeamScout's lookup results. Partner lists are confidential to each Network Member. As TeamScouts look up merchandise using ScoutPal, they will be provided with an Offer corresponding to the highest Offer Price, if there are any, for the merchandise that they have just looked up. TeamScouts may subsequently accept the highest Offer, or they can further review the list of all Offer(s). The full list of Offers is provided to the TeamScout in Offer Price order, starting with the highest Offer Price. Each Offer includes the Offer Price, an Offer Acceptance link and the DealerScout's Amazon Nickname. When an Offer is accepted by a TeamScout, the ScoutPal Network will automatically send an email addressed to both the DealerScout and the TeamScout. The email will specify the Amazon ASIN for the merchandise, the stated Offer Price as given at the time that the Offer was provided to the TeamScout and the complete text of the DealerScout's Terms.
